A new and best-selling employee training program about avoiding antitrust and other compliance problems at association meetings.
Training Topics: Importance of association meetings:
Associations provide an essential neutral ground where people from all over an industry or profession can get together, act together, do some business together, and learn what's going on in their field.
Antitrust:
Risky "small talk": prices, discounts, production levels, termsThird party acting as intermediary for illegal communicationsPrivate meetings involving competitors: If unsanctioned - no legally approved agenda - no lawyer or association official present - don't be there.Risks of excluding segments of an industry from a meeting.Meetings to set industry standardsNeed for legal guidance in an industry-wide activityNoerr-Pennington: Rule does not allow anti-competitive agreements in any context. Informal social events: Hospitality suites, receptions, banquets, golf, sports, trips, entertainment, plant tours.
Do's and don'ts, if a meeting involving competitors gets out of bounds:
1. End the conversation forcefully, publicly, and immediately.
2. Talk, don't write, to legal counsel.
3. Don't discuss with others.
4. Let a lawyer create any written record.

Overview: The commentator: Hon. Dick Thornburgh, former US Attorney General delivers a strong message about alertness to legal compliance at association meetings: "A few of the people you run into at trade meetings have their own hidden agendas that can spell trouble for your company, your industry, and for you. Don't let that happen."
Whenever people get together at association meetings, they face legal danger areas—especially the potential for competitors violating antitrust laws. Participants in association activities need to be trained to avoid situations that could be illegal, look illegal, or lead to illegal acts.
Compliance training prior to association meetings: Before they take off on a round of association conferences, trade shows, social events, or special meetings, people should receive special compliance training. They need strong reminders of how what they say or do can expose their company to antitrust problems. They need to be reminded of other serious concerns like: guarding trade secrets; avoiding conflicts of interest; and steering clear of sexual harassment and other discrimination. This engaging program provides memorable training about responsible conduct—especially antitrust compliance—that will motivate people as they rub elbows with competitors and others during meetings.
The Story:
On a Saturday afternoon in October, Arthur A. sits in his family room with two men he's never met before, feeling as if the floor is opening up under him. The two FBI agents are investigating possible antitrust violations in Arthur's industry. Arthur, his company, and his associates and friends will all be swept into a major probe of their industry. The investigation targets association activities like conferences, seminars, trade fairs and exhibits, standards committees, political action committees, and chance encounters in lobbies, lounges, luncheons and social events. The case reveals that some people have been very careless - and a few have violated the association's by-laws and Federal, State, and international antitrust laws. The consequences include corporate fines into the hundreds of millions of dollars. Several executives - including two foreign nationals - receive fines and terms in U.S. federal prisons.
